Terms of Business

These terms apply to projects or quoted work where we refer to them via link in our estimate or email. By proceeding with the work, you agree to the following terms:

1. Scope of Work

All work will be delivered in line with the agreed estimate or project summary. Any changes to scope, timeline or budget will be discussed and confirmed in writing. We reserve the right to re-quote for additional work not originally agreed.

2. Fees & Payment

Unless otherwise specified, projects are billed as follows:

  • 50% on commencement
  • 50% on delivery or completion

Payment terms are 14 days from the date of invoice. Late payment may result in project delays and, where necessary, the addition of interest in accordance with the Late Payment of Commercial Debts Act.

3. Client Responsibilities

You agree to provide timely access, assets, content, approvals and feedback to enable us to deliver the project efficiently. Delays in this may affect timelines and may result in additional charges.

4. Intellectual Property

Upon receipt of full payment, you will own the final deliverables created for the project. Any third-party assets (e.g., stock images, fonts, licensed plugins) will remain under their respective licences and are not transferred. We retain the right to reuse general techniques, code snippets or design patterns not specific to your brand.

5. Attribution & Publicity

We reserve the right to showcase the work in our portfolio and marketing materials, subject to written client approval. Site footers may include credit to Northern Artillery unless otherwise agreed.

6. Warranty & Support

We offer a 30-day defect warranty from launch/completion, during which any bugs or technical issues directly resulting from our work will be fixed at no cost. This does not cover third-party system errors or post-launch content changes. Any additional support beyond this period may be quoted separately.

7. Cancellation

If the project is cancelled by the client after commencement, we reserve the right to invoice for time spent and costs incurred up to the date of cancellation. Deposits are non-refundable once work has started.

8. Third-Party Costs & Services

Where third-party services (e.g. plugins, app subscriptions, hosting) are required, the client will be responsible for creating and managing those accounts and for any associated costs. We will not incur third-party fees on your behalf without written approval.

9. Limitation of Liability

Our total liability is limited to the total fees paid for the project. We are not liable for indirect or consequential losses, including lost profits or reputational damage. Nothing in these terms excludes liability for death, personal injury, or fraud.

10. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

11. Precedence of Agreements

These Terms of Business apply where no separate written agreement is in place. If a formal agreement has been signed between Northern Artillery and the Client, that agreement will take precedence.
